Chanhueng Law Firm (“HW”), a leading Hong Kong independent law firm, advised the offeror in relation to the making of a voluntary general offer to acquire all the issue shares of Xingda International Holdings Limited (stock code: 1899) ("Xingda") at an aggregate consideration of HK$1.57 billion. Upon completion of the voluntary general offer on 29 November 2024, the offeror and its concert parties were able to increase their shareholding in Xingda from 37.03% to 63.43%, consolidating their control over Xingda.
Xingda is principally engaged in the manufacturing of radial tire cords, bead wires and other wires (the “Products”) in China and Thailand, and the sale of the Products in the PRC, India, Thailand, the United States of America, Slovakia, Brazil, South Korea, Indonesia and other countries.
The HW team was led by corporate partners, Brian Ho and Yvonne Zhang. The team had lead responsibility for legal documentation on the voluntary general offer, corporate and regulatory issues, communication with the regulators and general transaction management.
